Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the website poljohn.com (the "Site") and the AI-powered virtual assistant, call-answering, and workflow automation services provided by Poljohn LLC ("Poljohn," "Company," "we," "us," or "our") to plumbing companies ("Clients"), including all voice calls and SMS/text messages sent or received using phone numbers provisioned for the Services (the "Services"). By using the Site, engaging Poljohn as a Client, or by receiving communications sent through the Services, you agree to these Terms.

1. Description of Service

Poljohn provides Clients with AI-driven call answering, emergency triage, appointment booking, and SMS follow-up services for their plumbing businesses. As part of the Services, Poljohn provisions and operates telephone numbers (including numbers registered through Twilio) that are used to:

  • Answer, triage, and route incoming calls from a Client's customers.
  • Send and receive SMS text messages with a Client's customers, including appointment confirmations, technician dispatch/arrival notifications, quotes and estimates, appointment reminders, and post-service review requests.
  • Communicate with Clients directly regarding account setup, service performance, billing, and support.

2. Who These Terms Apply To

These Terms apply to (a) Clients who contract with Poljohn to use the Services, and (b) end customers of a Client ("Customers") who call or exchange text messages with a phone number operated by Poljohn on a Client's behalf. Customers interacting with a Client's number are communicating with an AI-assisted system operated by Poljohn as a service provider to that Client.

3. Client Responsibilities & Consent Obligations

Each Client is responsible for ensuring that its use of the Services complies with applicable law, including telemarketing and messaging laws such as the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and CTIA messaging guidelines. Specifically, each Client represents and warrants that:

  • It has obtained proper consent from its Customers before those Customers are contacted or enrolled in SMS communications through the Services, or that such contact falls under a permissible exemption (e.g., an existing customer relationship inquiring about a service already requested).
  • It will not use the Services to send unsolicited marketing messages, spam, or messages to numbers on a do-not-call or do-not-text list.
  • Contact information provided to Poljohn for use in the Services is accurate and lawfully obtained.
  • It will promptly honor any opt-out request from a Customer and will not re-enroll an opted-out Customer without new, affirmative consent.

4. Messaging Program Terms

Message types sent through the Services may include appointment confirmations, technician dispatch/arrival notifications, quotes and estimates, appointment reminders, and post-service review requests.

Message Frequency: Message frequency varies based on a Customer's interactions and scheduled services (e.g., appointment activity).

Message and Data Rates: Message and data rates may apply, depending on the recipient's mobile carrier plan.

Opt-Out: A Customer may opt out of SMS messages at any time by replying STOP to any message. A one-time confirmation will be sent and no further messages will be sent unless the Customer opts in again.

No mobile phone number or SMS opt-in/consent data collected through the Services will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for further detail on data handling.

5. Acceptable Use

You agree not to use the Services to: (a) transmit unlawful, threatening, abusive, or fraudulent content; (b) impersonate any person or entity; (c) interfere with or disrupt the Services or Poljohn's underlying infrastructure (including Twilio's network); (d) send messages to individuals who have not consented or who have opted out; or (e) use the Services in violation of any applicable federal, state, or local law or regulation.

6. Fees & Payment

Clients agree to pay the fees set out in their service agreement with Poljohn, which may include a one-time setup fee, a recurring monthly base fee, and per-booked-job or per-message fees as applicable. Fees are described on our Pricing page and may be updated with notice to active Clients.

7. Intellectual Property

All software, call flows, scripts, triage logic, and related materials developed or used by Poljohn to provide the Services remain the property of Poljohn LLC. Clients are granted a limited, non-exclusive right to use the Services for their business operations during the term of their agreement with Poljohn.

8. Disclaimers

The Services are provided "as is" and "as available." While Poljohn designs the Services to reliably answer and triage calls, we do not guarantee uninterrupted availability, and we are not liable for missed calls, messages, or bookings resulting from carrier outages, third-party network issues (including Twilio service interruptions), or circumstances outside our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Poljohn LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business, arising out of or related to use of the Services. Poljohn's total liability for any claim arising under these Terms shall not exceed the fees paid by the Client to Poljohn in the three (3) months preceding the claim.

10. Indemnification

Clients agree to indemnify and hold harmless Poljohn LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from the Client's failure to obtain proper Customer consent, misuse of the Services, or violation of applicable law in connection with the Client's use of the Services.

11. Termination

Either party may terminate the Services in accordance with the terms of the applicable service agreement. Poljohn reserves the right to suspend or terminate access to the Services immediately if a Client's use violates these Terms, applicable messaging regulations, or Twilio's Acceptable Use Policy.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. Material changes affecting active Clients will be communicated directly.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, and any disputes shall be resolved in the state or federal courts located in Texas.
